RECOMMENDED MOTION:
Move the board direct the General Manager to initiate the necessary procedures for filling the expected vacancy of Edwards Aquifer Authority Director District 10 in Hays County as outlined in the timetable.
SUMMARY:
The purpose of this agenda item is to seek board action to direct the General Manager to initiate the necessary procedures for filling the expected vacancy of Edwards Aquifer Authority Director District 10 in Hays County. Current District 10 Director Pat Stroka submitted a letter of intent to resign to Chairman Luana Buckner on December 1, 2020. The process for filling board vacancies is outlined in the EAA Bylaws under Section 2.04 (Board Vacancies - Elected Voting Directors). Following are excerpts from that section which most directly apply to this particular circumstance:
(a) Except for appointed directors, the filling of vacancies is within the jurisdiction of the Board. If an elected director’s position becomes vacant, the Board shall appoint a qualified person to serve until the first election of directors following the appointment. If the position is not scheduled to be filled in that election, the Board shall additionally provide for a director to be elected at that election for the remainder of the unexpired term. The Authority may not commence the filling of a Board vacancy under Subsection (d) until the director has filed: (1) a letter of resignation; or (2) a notice of his or her intent to resign. If a Board member files a notice of intent to resign, he or she must still file a letter of resignation for the Board to be able to declare the position vacant…
(b) After either a letter of resignation, or notice of intent to resign, has been filed, the general manager must give notice of the vacant (or potentially vacant) position, and that the Authority is accepting applications from qualified persons to fill the vacancy. The notice of vacancy (or potential vacancy) shall be published one (1) time in at least one newspaper circulated in the single member district for which the Board has received a letter of resignation, or notice of intent to resign.
If so directed, staff will proceed to implement the appropriate actions to fill this potential vacancy as described in Section 2.04 of the EAA Bylaws.
Director Stroka would continue to serve on the board until a successor is selected and installed.
