RECOMMENDED MOTION:
Move the board accept the resignation of Director Stuart Hansmann; declare EAA Director District 8 in Comal County to be vacant; and direct the General Manager to initiate the necessary procedures to fill the vacancy consistent with EAA Bylaws.
SUMMARY:
The purpose of this agenda item is for the board to accept the resignation of Director Stuart Hansmann and declare the vacancy of EAA Director District 8 in Comal County. Director Hansmann effectuated his resignation via email on December 19, 2025. A copy of the email is attached to this summary. The resignation became final and effective by operation of law on December 27, 2025, and the position of District 8 became vacant.
The process for filling board vacancies is outlined in the EAA Bylaws under section 2.04. Board Vacancies - Elected Voting Directors. Following are excerpts from those sections that most directly apply to this particular circumstance:
(a) "Except for appointed directors, the filling of vacancies is within the jurisdiction of the Board. If an elected director’s position becomes vacant, the Board shall appoint a qualified person to serve until the first election of directors following the appointment. If the position is not scheduled to be filled in that election, the Board shall additionally provide for a director to be elected at that election for the remainder of the unexpired term. The Authority may not commence the filling of a Board vacancy under Subsection (d) until the director has filed: (1) a letter of resignation..."
(c)(2) "[A vacancy on the Board occurs upon the date of:] Acceptance by the Board of a signed, written notice of resignation to the Board filed with the Chairman, or by operation of law at 5:00 p.m. of the eighth day after receipt of a written notice of resignation, whichever is earlier, as provided by Section 201.023, Texas Election Code"
(d) "Pursuant to section 49.105(a), Texas Water Code, vacancies on the Board shall be filled by appointment of the Board not later than the 60th day after the date the vacancy occurred."
(f)(1) "[The Board will fill vacancies for voting directors in accordance with the following procedure:] For a vacancy under section 2.04(c)(2), the Board shall accept a duly filed written notice of resignation from a director at its next regularly scheduled meeting and declare a director vacancy by majority vote of the quorum..."
(f)(2) "After either a letter of resignation, or notice of intent to resign, has been filed, the general manager must give notice of the vacant (or potentially vacant) position, and that the Authority is accepting applications from qualified persons to fill the vacancy. The notice of vacancy (or potential vacancy) shall be published one (1) time in at least one newspaper circulated in the single member district for which the Board has received a letter of resignation, or notice of intent to resign."
